STATUTE
FOUNDATION OF EDUCATION AND DEVELOPMENT OF CIVIL SOCIETY
AND CHAPTER
GENERAL PROVISIONS

1. Foundation under the name "Foundation for Education and Development of Civil Society" hereinafter referred to as the Statute of the Foundation, was established by the Founder Lech Zajferta called later in the founder, A Digest of the notarial deed No. 6460/2003 Elizabeth Dziubałtowską before a notary in Lodz in her office at st. Piotrkowska No 53 on 22 September 2003.
2. The Foundation operates under the Polish law on foundations and the provisions of this Statute.

The Foundation is the city of Lodz

1.Fundacja may have branches in this and make long distance and other organizational units.
2. Operational area is the Foundation of the Republic of Polish territory, but within the statutory Foundation may also conduct activities outside the Republic of Poland

CHAPTER II
OBJECTIVES AND PRINCIPLES OF OPERATION OF THE FOUNDATION

The foundation is to promote the sustainable development of civil society through education and art, and multimedia technologies.

The Foundation achieves its objectives, in particular through:
1.Organizowanie, finance lectures, seminars, symposia, workshops and training as well as other educational activities.
2.Prowadzenie publishing activities.
3.Organizowanie outdoor activities, excursions, green schools, kindergartens, schools, camps and summer and winter holiday resorts and agritourism.
4.Prowadzenie learning centers for youth and adults, including schools and kindergartens.
5.Akcje promotion, mass events including charities, Easter collection, collection, auction items provided, inter alia, by the donors.
6.Kontakty between representatives of different countries, communities and religious associations are collaborating for the development of democracy, culture, art, jobs, education, prevention of social inequalities.
7.Pomoc financial and material assistance provided to persons, organizations or institutions in the framework of grant programs.
8.Finansowanie, cooperation and institution-building and health promotion, including establishments using unconventional and innovative alternative therapies and prevention - including support, rehabilitation and support to people with disabilities.
9.Propagowanie, development and implementation of technologies and ideas to improve the environment, especially in the spirit of sustainable development.
10.Zakup clothing, food, educational assistance, computer equipment and other items and forwarding them to the needs of individuals or institutions.
11.Rozwijanie and financing of modern technological solutions, as well as the promotion of old and forgotten crafts and kunsztów
12.Organizowanie and sponsorship of concerts, performances, making films, contests, theatrical performances, exhibitions, sporting events and travel tours, promotion and maintenance of artists and ensembles.
13.Wykorzystywanie multimedia technologies especially the Internet in the direction of education and development of civic thinking as well as for the general good of society.
14. Assisting financial, material, organizational and intellectual, scientific establishments, educational institutions and other research entities within the scope of the objectives of the Foundation.
15. Supporting and co-actors and institutions active protection of nature.
16. Promotion and development of alternative and organic methods of cultivation of land and agricultural technologies.
17. Tackling racial discrimination, gender (including work for the empowerment of women), associated with social exclusion, different faiths, addictions.
18. Providing legal advice

To achieve its objectives the Foundation may
1.Tworzyć yourself and others to be a member of the Foundation and a coalition of citizens for the actions corresponding to the aims of the Foundation.
2.Sama or jointly with others to operate on the basis of a civil contract, or otherwise complies with applicable regulations.

CHAPTER III
PROPERTY AND INCOME OF THE FOUNDATION

1.Majątek provide resources for the Foundation by the Founder in the amount of 1000 (one thousand Polish zlotys), which are the founding fund of the Foundation, and other property received or acquired by the Foundation during its operation.

a) donations, including from the Founder, inheritances, bequests and abroad,
b) grants and subsidies and foreign legal persons,
c) the bank and deposits
d) the movable and immovable property,
e) gifts, collections and public events,
f) income from shares in the profits of commercial companies in which shares (shares) have been covered by the Foundation,
g) revenue from conducting auctions,
h) dividends and proceeds from shares and securities held by the Foundation,
i) the business.
3. In connection with the requirements of the status of Public Benefit Foundation may:
a) make loans or commitments to safeguard the assets of the Foundation in relation to members of or employees, and persons with whom workers are married or in a kinship relationship or in a straight line, kinship or affinity in the collateral line to the second degree, or are related to the title adoption, custody or guardianship, hereinafter referred to as "close persons",
b) provide for the assets of the Foundation board members or staff persons and their relatives, on the basis other than in relation to third parties, in particular if the transfer is free of charge or on preferential terms,
c) use the assets of the Foundation for the benefit of members of bodies or employees and their relatives on the basis of other than in relation to third parties unless it is directly connected with the use of the statutory purpose of the Foundation,
d) to make purchases on the basis of specific goods or services from those involving members of the Foundation, employees or their loved ones.
e) income from their business activities may be used only to carry out statutory activities.

1.Dochody coming from donations, bequests, grants, subsidies and bank interest from these sources may be used for any chosen by the Foundation achieve its goal.
2.Fundacja can create funds, including the deliberate nature in accordance with the will of the donor, signed his name or the name.
3.Przyjęcie the Foundation's donation or inheritance may not result in the acquisition by the Foundation for debts in excess of the value of property adopted.
4.The donations and acquisition matters of inheritance declarations required by law consists of the Board of the Foundation.
5.Fundacja can collect their funds in the Polish currency and foreign currencies in the relevant banks in accordance with the provisions of Polish law, foreign exchange.
CHAPTER IV
ORGANS OF THE FOUNDATION

Authorities of the Foundation are
1.Rada Foundation later in the statute referred to as "the Board".
2.Zarząd Foundation later in the statute referred to as "the Board".

1.Rada is a body inicjatywnym and control forms the foundation for the cases provided for in the statutes.
2. The Council consists of from three to seven people.

In the event that the chairman does not convene the Council, the right to convene the Council is the applicant.

3.Rada Foundation decide by simple majority, in the event of a tie, the vote of the chairman. For the validity of the resolutions required the presence of half the members of the Council. 4.In the event of incapacitation of a member of the Council has the right to appoint its designated agent to represent him in the council.

a) Supervision of activities of the Foundation,
b) Consideration of annual reports on the activities of the Foundation Board,
c) Adoption of resolutions on the discharge to the Management Board,
d) Approval of annual financial statements of the Foundation,
e) Establishing guidelines for the direction of the Board of the Foundation,
f) Adoption of resolutions on the sale or charging property and securities,
g) Appointment and dismissal of the Chairman and Board members,
h) Adoption of resolutions amending the statutes of the Foundation,
i) Deciding on the liquidation of the Foundation.
2.Any member of the Council has the right to control the activities of the Foundation, including the same or a person authorized by it may at any time to view the documents of the Foundation to draw up a balance sheet or ask for explanations from the board.

1.The Management Board of the Foundation consists of from 2 to 6 people including the President and Vice President of the Board. Executive Board to the extent possible, try to follow their structures of gender equality - equal social participation of women and men.
2.Zarząd directs the ongoing activities of the Foundation and represents the Foundation. The Foundation's Board is empowered to handle all matters not reserved by statute for the Council of the Foundation.
3.Zarząd foundation decides the form of resolutions by a simple majority of votes in the presence of at least half the members, in the event of a tie, the casting vote of the President.
4.Zarząd may appoint agents to manage a distinct sphere of matters within the responsibility of the Foundation.

1.Fundator Foundation or the Council may decide to grant honorary membership to persons who have contributed and will contribute to the functioning and development of the Foundation.

CHAPTER V
Amendments to the Statutes

CHAPTER VI
Connect to another FOUNDATION

1.Fundacja to achieve its statutory objectives may merge with another foundation.

3.In the merger cases, the final decision belongs to the Foundation Council.
CHAPTER VII
LIQUIDATION OF THE FOUNDATION

1.Fundacja may be eliminated after the exhaustion of funds and assets of the Foundation.

CHAPTER VIII
SPECIAL PROVISIONS

1.Fundacja may establish badges, medals, honorary titles and diplomas, and present them along with other awards for individuals and companies have contributed to the Foundation, and others whose achievements are concurrent with the objectives of the Foundation.
2.Fundacja may award diplomas, medals, badges, certificates, natural and legal persons, also in the case of obtaining such consent from individuals, companies and institutions that issued them.

To matters not in the statute should apply the provisions of the Act of 6 April 1984. on Foundations (Journal of Uz, 1991. No. 46, item. 203), as amended, and its implementing rules of the Law
